TERMS & CONDITIONS-Training Services Agreement
This Terms and Conditions ("Agreement") is entered into between Patrick Moradian-Me3margi (referred to as "Seller," "we," or "us"), a training service provider, and the individual ("Buyer," "learner," "you," or "client") seeking training services in the architecture, engineering, and construction (AEC) industry. By purchasing our training services, you acknowledge and agree to abide by the following terms and conditions:
1. Service Delivery & Customized Topics:
Private training sessions will be conducted either in-person at our training center, or at customer's premise (when corporate) or online via ZOOM, as per the agreed-upon arrangement between Me3margi and the Buyer.
The specific timeframe and schedule for the training sessions will be mutually agreed upon by both parties.
The scope of work will be delivered in a weekly basis schedule, 2- 3 sessions/week, 2 hours/session from the signature of this offer
Any additional topics beyond the standard training programs that the Buyer requests will be considered customized topics.
Customized topics will incur separate charges, and the pricing will be communicated to the Buyer before proceeding with the training.
2. Terms of Payment
50% Down-payment upon notice to proceed
50% payment closing each module fees at completion.
3. Cancellation and Refund:
In the event of a cancellation initiated by the Buyer, no refunds will be granted. The payment made for the training services will be retained as an investment and will not be reimbursed.
However, the Buyer will have the flexibility to complete the purchased training sessions within 3 months from the date of offer approval.
4. Certification:
The training fees include the issuance of an E-certificate by Me3margi and a CPD (Continuing Professional Development) certificate by CPD House-London, United Kingdom.
Failure to settle the due payment within the agreed-upon timeframe may result in the suspension of training session delivery and cancellation of the certification process.
5. Payment:
The Buyer agrees to make the full payment for the training services as per the payment terms agreed upon with Me3margi.
Any delays in payment may result in disruptions to the training schedule and certification process.
6. Confidentiality:
Both parties agree to treat all training materials, discussions, and information exchanged during the training sessions as confidential.
7. Intellectual Property:
All training materials provided by Me3margi are protected by copyright and intellectual property laws. The Buyer agrees not to reproduce, distribute, or use these materials for any commercial purposes without obtaining written permission.
8. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Patrick Moradian-Me3margi is based.
9. Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral.
10. Payment Terms:
Payment Amount: The Buyer agrees to pay the total amount specified in the invoice provided by Me3margi for the training services.
Payment Method: Payment shall be made through the designated payment methods accepted by Me3margi, including but not limited to bank transfer, credit card, or online payment platforms.
Payment Schedule: The payment shall be made according to the following schedule:
For online training sessions, the full payment amount is required upfront before the commencement of the training.
For in-person training sessions:
A 50% down payment of the total amount is required before the training begins.
An additional 35% payment is due at the midway point of the training.
The remaining 15% is to be paid upon completion of the training.
This payment structure applies to both individual and corporate clients for in-house training programs.
Late Payment: In the event of a delayed payment, a late payment fee of 10% of the outstanding amount may be charged for each 15 working days of delay.
Currency: All payments shall be made in the currency specified in the invoice.
Taxes: The Buyer is responsible for any applicable taxes, duties, or other government charges related to the payment for the training services.
Receipts and Invoices: Me3margi shall provide the Buyer with appropriate receipts and invoices for all payments made.
Non-Refundable: All payments made for the training services are non-refundable, except as otherwise specified in this Agreement.
Disputed Payments: In the event of a payment dispute, the Buyer agrees to notify Me3margi in writing within 2 days of receiving the invoice. Both parties shall work in good faith to resolve the dispute promptly.
Payment Confirmation: Payment shall be considered complete only upon receipt and clearance of the funds by Me3margi.
Costs of Collection: In the event that legal action is taken to collect unpaid amounts, the Buyer agrees to reimburse Me3margi for any reasonable costs of collection, including attorney's fees and court costs.
